Jigsaw (the “APP”) is operated by Jigsaw International Pty Ltd (“JIPL”) with its registered office at C/- Revolution Accounting Pty Ltd, Unit 18, 88 Flinders Parade, North Lakes, Qld, Australia. The Terms describe the terms and conditions applicable to your access and use of the APP. This document is a legally binding agreement (the “Agreement”) between you as user(s) of the APP (referred to as “you”, “your” or “User” hereinafter) and us.
This APP is designed solely for the facilitation of products between Users in the construction trade/industry.
Please review the following rules that govern your use and access of the APP (the “Agreement”). By using the APP, you agree to be bound unconditionally by the following terms and conditions.
The APP includes (but not limited to) its software, products and services (collectively referred to as the “APP”). The APP is governed by the terms and conditions set out in this Agreement and any other rules and policies that JIPL may update from time to time. This Agreement and such other rules and policies of the APP are collectively referred to herein as the “Terms”. JIPL recommend that you read this Agreement carefully.
You acknowledge and agree that we may amend any Terms at any time by posting the relevant amended Terms on the APP. By continuing to use the APP, you agree that the amended Terms apply to you.
You are not in any circumstance permitted to modify the Terms.
You agree that JIPL is neither a partner or agent to any of the Users of the App.
By using the APP, you represent that you are a person of legal age and able to form a legally binding contract in Australia and are permitted to receive information under the laws of Australia. If you do not agree to (or cannot comply with) this, do not use this APP.
All billing and registration information provided on the APP must be truthful and accurate. Each User shall be solely responsible for the information and content it posts on the APP. Providing untruthful or inaccurate information constitutes a breach of these Terms.
All software (including updates) used on this APP is the property of JIPL and is protected by Australian / International copyright laws. Subject to the Terms, you are granted a limited non-exclusive license to use the APP including its software for the purpose it was established for. Any use outside of this is prohibited.
While using the APP you should not:
JIPL, in its sole discretion, reserves the right to remove from the APP any material or listing which we reasonably believe is unlawful, violates the Agreement, could result in any liability to JIPL, or is otherwise inappropriate.
JIPL reserves the right to limit, terminate and deny the right to use or access the APP of any User for any reason whatsoever, including, but not limited to, infringing any third party’s intellectual property right, breaching this Agreement, and incurring any liability to JIPL. Each User also agrees that in no event shall JIPL be liable to any User or any third party for any User’s inability to use or access the APP.
JIPL may launch, change, upgrade, impose conditions to, suspend, or stop any User without prior notice.
You must be registered on the APP (a “Registered User”) to use the APP. Your status as a Registered User and use of the APP are governed by this Agreement’s Terms. JIPL may reject a User’s application for registration for any reason. Upon registration on the APP, we will create an account and issue a User identification (“User ID”) and password (the “Password”) to each Registered User.
Each User is required to provide information about yourself, entity, business, trade credentials and products as part of the registration process on the APP. Each User represents, warrants, and agrees that all information provided at any time in the continuation use of the APP, is true, accurate, current and complete; and you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.
A set of User ID and Password is unique to a single account. Each Registered User shall be solely responsible for maintaining the confidentiality and security of your User ID and Password and for all activities that occur under your Account. No User may share, assign, or permit the use of their Account, User ID or Password by another person outside of the User’s own business entity. Registered User agrees to notify us immediately if you become aware of any unauthorised use of your password or your account or any other breach of security of your Account.
Each User agrees that all activities that occur under their Account (including, without limitation, posting any company or product information, clicking to accept any additional agreements or rules, subscribing to or making any payment, sending e-mails using the latest e-mail account or sending SMS) will be deemed to have been authorised.
Each User acknowledges that sharing your account with other persons or allowing multiple users outside of your business entity to use your account (collectively, “multiple use”), may cause irreparable harm to JIPL or other Users of the APP. The User shall indemnify JIPL, our affiliates, directors, employees, agents and representatives against any loss or damage (including but not limited to loss of profits) suffered because of the multiple use of your account. The User also agrees that in the case of the multiple use of your account or User’s failure to maintain the security of your account, we shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate the User’s Account without any liability to us.
By confirming your use at the end of the checkout process, the Users respectively agree to buy and sell the product between them and pay for the product.
You understand that by using and accessing the APP, you may encounter content that may be deemed by some to be offensive, indecent, or objectionable, which content may or may not be identified as such. You agree to use the APP at your sole risk, and that JIPL shall have no liability to you for Content that may be deemed to be offensive, indecent, or objectionable.
Each User understands and accepts that the product and content listing or displaying on the APP may relate to copyrights, trademarks, trade secrets, patents and other personal or proprietary rights of a third party. Further, each User agrees that the User who uploads or lists that content and information on the APP shall be solely responsible for any violation (if any) of third-party rights. JIPL shall not be liable for any infringement or purchase dispute.
When required by the government, law enforcement body, or obligee whose legitimate right has been injured, or forced by subpoena or other legal document, JIPL may disclose the User’s identity and contact information. User agrees not to bring any action or claim against JIPL for such disclosure.
The APP may allow Users to access content, products or services offered by third parties through hyperlinks (in the form of word links, banners, channels or otherwise). You are cautioned to read such APPs’ terms and conditions and/or privacy policies before using such APPs to be aware of the terms and conditions of your use of such APPs. You acknowledge that JIPL has no control over such third parties’ web APPs, does not monitor such APPs, and JIPL shall not be responsible or liable to anyone for such web APPs, or any content, products or services made available on such web APPs.
User agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for JIPL’s provision of the services, evaluating whether User has breached this Agreement, and/or handling any complaint against the User. If User’s failure to do so results in delay in, or suspension or termination of, the provision of any service, JIPL shall not be obliged to extend the relevant service period nor shall be liable for any loss or damages arising from such delay, suspension or termination.
JIPL respects the intellectual property rights of others and we expect our Users to honour the same. Any unauthorised use of the IPR of others is strictly prohibited.
The User grants to JIPL a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise any and all copyright, publicity, database rights and any other rights you have in the materials, in any media now known or not currently known, with respect to your use of the APP.
Each User expressly agrees that the use of the APP is at their sole risk. In no event shall JIPL, its subsidiaries, affiliates, officers, directors, employees, agents, or suppliers be liable to any User or any other person for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, damages for loss of profits or opportunity, business interruption, loss of programs or information, or the loss of use of data, arising out of or in connection with this Agreement, the APP or any third party links or APPs, or for any information or services obtained through the APP, or otherwise arising out of the use of the APP, even if JIPL has been advised of the possibility of such damages, and regardless of the form of action, whether in contract, tort, or otherwise.
Each User agrees to indemnify, defend, and hold harmless JIPL, its subsidiaries, affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable legal fees and expenses, arising out of or in connection with your use of the APP, including but not limited to any violation of these Terms by you, or any activity related to your account by you or any other person accessing the APP using your account.
This Agreement and the use of the APP shall be governed by and construed in accordance with the laws of the state of Queensland, Australia, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement or the use of the APP shall be resolved by the courts located in Brisbane, Queensland, Australia, and you consent to the jurisdiction of such courts.
